Terms of service

These terms govern your use of the FocusMD service provided by [LEGAL ENTITY NAME] (“we”, “us”). By using FocusMD you agree to them on behalf of yourself and, where applicable, the hospital you represent.

1. The service

FocusMD is an outpatient hospital system. On your instruction it produces draft clinical documentation — transcripts, notes in history / examination / provisional diagnosis / advice, and suggested ICD-10 (WHO) codes — for review by a registered prescriber. It also supports pharmacy prescription verification, out-of-pocket billing and day-end reconciliation, ABHA-linked record exchange under ABDM, and handling of data requests under the DPDP Act.

2. Clinical responsibility (important)

FocusMD does not provide medical advice, diagnosis or treatment recommendations. All clinical output is a draftuntil reviewed and signed by a registered prescriber, who remains solely responsible for the accuracy and completeness of the clinical record and for any coding decision. Signing a note is your attestation that it is correct, not ours.

Only practitioners verified on the Healthcare Professionals Registry (HPR) may sign a clinical record. FocusMD will not sign on behalf of an unverified account, and an unverified prescriber cannot finalise a note.

3. Pharmacy and dispensing

Prescription verification requires a connection to our servers. A prescription that cannot be verified must be held and confirmed with the prescriber; dispensing an unverified prescription is prohibited under these terms. Brand substitutions require the prescriber's approval and are recorded against the prescription. Dispensing is not available offline.

4. Your obligations

• Obtain and record patient consent before sharing any record with another provider, and keep that consent within its granted purpose and validity period.
• Verify the identity of any patient making a data request before acting on it.
• Use the service only for lawful clinical purposes.
• Comply with your professional obligations, including clinical record retention, privacy and record-keeping requirements applicable to your hospital.
• Keep account credentials secure; accounts are personal and must not be shared.
• Ensure HPR registration and other professional requirements are current for anyone signing records on your behalf.

5. Accounts and access

Access is by invitation from a hospital administrator, with a role assigned per staff member. We may suspend or terminate accounts that breach these terms or create risk to the service, its users, or patient safety.

6. Fees and billing

Fees are as agreed with your hospital in your order form, billed [monthly] in advance. Trials are free for 14 days. Prices are in INR and exclude GST.

Patient billing handled in FocusMD is out-of-pocket settlement at the hospital counter. FocusMD does not submit insurance claims, and insurance-assisted mode is a reconciliation aid rather than a claims process.

7. Data and confidentiality

You retain all rights to your clinical data. We process it only to provide the service, as described in our privacy policy. You may export or delete your data at any time from within the service, subject to statutory retention of clinical records. On account closure we delete account data within [30] days.

8. Intellectual property

We own the FocusMD software. You own your clinical data and the notes generated from your consultations. You grant us the limited right to process consultation content solely to provide the service to you.

9. Availability and support

We aim for high availability but do not guarantee uninterrupted service. Certain functions — transcription, ABDM exchange, prescription verification and signing — require a working connection and are unavailable offline; the product states which. We may modify or discontinue features, with reasonable notice where practicable.

10. Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising from or connected to the service is limited to the fees you paid in the [12] months before the claim arose. We are not liable for indirect or consequential loss, including loss of profit or revenue. Nothing in these terms limits liability that cannot lawfully be limited.

11. Terminating

You may stop using the service and cancel at any time. We may terminate for breach with notice where practicable. On termination, export your data — we delete account data within [30] days of closure, other than records subject to statutory retention.

12. General

These terms are governed by the laws of India, and the courts of [CITY] have jurisdiction. If any provision is unenforceable, the rest remains in force. We may update these terms; material changes will be notified to hospital administrators in advance.
